FIRST TIME INVESTORS

First time foreign investors can either create a company or sign a Business Cooperation Contract with a Vietnamese partner. In either case, they need to obtain an investment registration certificate.

The process of obtaining investment certificate depends on the location of the registered office of the company or the BCC (inside or outside industrial zones).

Company creation

Foreign investors can create local companies under the form of: Limited liability (LLC) or Joint Stock (JSC) companies. They can be either 100% foreign owned or joint venture with local partners.

The creation process is the same for all forms of companies. However, it may vary depending on the following factors:

- location (inside or outside special zone).

- whether the investor will rent a simple office or lease land and request a construction permit. Land is owned by the State of Viet Nam. The lease term is limited to 50 years (up to 70 years in special cases).

Business Cooperation Contract

Foreign investor, investing in Viet Nam without creating a company, could sign a business cooperation contract (BCC) with a Vietnamese company, in which they could jointly undertake business activities and share the resulting profits. The Vietnamese company can be owned by nationals, by foreigners or be a joint-venture.
